1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and App2 Labs Inc. ("App2," "we," "us," or "our") governing your access to and use of the App2 platform, including our website at app2.dev, our AI-powered development tools, and all related services (collectively, the "Services").

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services. You must be at least 18 years old to use our Services.

2. Definitions

For purposes of these Terms:

  • "Credits" means the usage units consumed for AI operations, deployments, and other platform features. Credits come in three types: Free Credits (daily allocation for Free tier), Subscription Credits (monthly allocation for paid plans), and Purchased Credits (one-time purchases).
  • "Workspace" means a team collaboration space where users can share projects, credits, and integrations.
  • "Project" means an individual application built within a workspace, including code, chat sessions, sandbox, and optional integrations.
  • "Sandbox" means the secure, isolated development environment where your code executes safely, powered by Daytona.
  • "User Content" means any code, text, images, designs, or other materials you provide to or generate through the Services.
  • "AI Services" means the artificial intelligence models and tools provided through our platform, including but not limited to Claude (Anthropic), OpenAI GPT-4, and Google Gemini.
  • "Integrations" means third-party services connected to your App2 account, including GitHub, Vercel, Supabase, Figma, and Stripe.

3. Description of Service

App2 is an AI-powered development platform that enables users to create web and mobile applications through natural language descriptions and Figma design imports. We provide:

  • AI-powered code generation for React/Vite web applications and React Native/Expo mobile applications
  • Secure sandbox environments for code execution powered by Daytona
  • Integration with third-party services including GitHub, Vercel, Supabase, Figma, and Stripe
  • Team collaboration features including workspaces, shared credits, and role-based permissions
  • Code deployment capabilities through GitHub and Vercel with optional custom domains
  • Chat-based development interface with multiple modes (Build, Plan, Debug, Review, Docs)

Our Services rely on infrastructure provided by Supabase (database and authentication), Vercel (deployment), Daytona (sandbox environments), and Upstash (rate limiting and caching). The availability and performance of our Services may be affected by these third-party providers.

4. User Accounts and Registration

To access certain features of the Services, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information to keep it accurate
  • Maintain the security of your account credentials and accept all risks of unauthorized access
  • Immediately notify us of any unauthorized use of your account or any other breach of security
  • Accept responsibility for all activities that occur under your account

You may not transfer or share your account with others. We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for extended periods.

5. License to Use Services

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Services for your internal business or personal purposes.

This license does not grant you any ownership rights to the Services or their underlying technology. All rights not expressly granted to you are reserved by App2.

6. Acceptable Use Policy

You agree not to use the Services to:

  • Upload, post, or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
  • Violate any applicable local, state, national, or international law or regulation
  • Infringe upon or violate the intellectual property rights or privacy rights of others
  • Interfere with or disrupt the Services or servers or networks connected to the Services
  • Attempt to gain unauthorized access to any portion of the Services, other accounts, computer systems, or networks
  • Use any automated system, including "robots," "spiders," or "scrapers" to access the Services
  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Services
  • Remove, circumvent, disable, damage, or otherwise interfere with security-related features
  • Resell, sublicense, rent, lease, or otherwise commercialize access to the Services
  • Use AI-generated code in high-risk contexts (medical devices, life support systems, autonomous vehicles, nuclear facilities, military applications) without thorough human review and testing
  • Generate content intended to harm, defraud, or mislead others, including malware, phishing schemes, or disinformation
  • Abuse sandbox environments by attempting to access other users' data, cryptocurrency mining, or launching attacks on external systems
  • Share account credentials or Credits with others outside your authorized workspace

7. Subscription Plans and Billing

We offer multiple subscription tiers with different features and Credit allocations:

  • Free Tier: 5 daily Credits (25 per month maximum), unlimited public projects, solo workspace
  • Pro Tier: $25/month (or $200/year), 100 monthly Credits, private projects, up to 5 collaborators, custom domains, full integration access
  • Lifetime Tier: $400 one-time payment, 2,400 total Credits (100/month for 2 years), permanent Pro status, BYOK (Bring Your Own Keys) support
  • Ultra Tier: Custom pricing, up to 50 collaborators, priority support

By subscribing to a paid plan, you agree to pay all applicable fees as described on our pricing page. All payments are processed securely through Stripe. Subscriptions automatically renew unless cancelled before the renewal date.

Refund Policy: Subscription fees are generally non-refundable. However, you may request a refund within 7 days of your initial subscription or renewal by contacting hello@app2.dev. Purchased Credits are non-refundable but never expire.

We reserve the right to modify our pricing and subscription plans at any time. Price changes will not affect your current subscription period but will apply to subsequent renewal periods. We will provide at least 30 days' notice of any price increases.

8. Credits System

Credits power all AI operations, deployments, and premium features on the platform. Credit consumption varies based on:

  • Complexity and size of code generation requests
  • AI model used (Claude, OpenAI, Gemini)
  • Type of operation (chat, deployment, Figma import, image analysis)
  • Amount of context provided

Credit Types and Expiration:

  • Free Credits: Expire daily at midnight UTC for Free tier users. Maximum 25 Credits per month for primary workspaces.
  • Subscription Credits: Never expire. Unused Credits roll over indefinitely.
  • Purchased Credits: Never expire. Available for purchase in packages of 100-800 Credits at $0.25 per Credit.

Credits are consumed in the following order: Subscription Credits, Purchased Credits, then Free Credits.

BYOK (Bring Your Own Keys): Lifetime tier subscribers may use their own API keys from OpenAI, Anthropic, or Google to reduce Credit consumption. When BYOK is enabled, API costs are billed directly by the provider, and App2 Credits are not consumed for AI operations.

9. User Content and Ownership

Your Ownership: You retain full ownership of any applications, code, designs, or content you create using our Services. App2 claims no ownership rights to your User Content.

License to App2: By using our Services, you grant App2 a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your User Content solely to:

  • Provide, maintain, and improve the Services
  • Generate AI responses and code
  • Store and sync your projects across devices
  • Display your public projects in our community showcase
  • Analyze usage patterns to improve our AI models (anonymized and aggregated data only)

Responsibility for User Content: You are solely responsible for all User Content you provide or generate through the Services. You represent and warrant that you have all necessary rights to your User Content and that it does not violate any third-party rights or applicable laws.

AI-Generated Code Disclaimer: While we strive to provide high-quality AI-generated code, we make no guarantees about its correctness, security, performance, or suitability for any particular purpose. You are responsible for reviewing, testing, and validating all AI-generated code before using it in production environments.

10. Third-Party Services and Integrations

Our Services integrate with various third-party platforms. Your use of these integrations is subject to the applicable third-party terms of service:

  • GitHub: Automatic repository creation and code synchronization. You must comply with GitHub's Terms of Service.
  • Vercel: Deployment and hosting services. You must comply with Vercel's Terms of Service.
  • Supabase: Backend database, authentication, and storage. When connecting your own Supabase project, you must comply with Supabase's Terms of Service.
  • Figma: Design import functionality. You must have appropriate rights to any Figma designs you import.
  • Stripe: Payment processing for implementing payments in your applications. You must comply with Stripe's Terms of Service.
  • Daytona: Powers our sandbox environments. Sandbox usage is subject to resource limits and fair use policies.

We are not responsible for any third-party services, their availability, functionality, or any issues arising from their use. Changes to third-party services may affect our Services without notice.

11. Sandbox Environments

Sandbox environments are secure, isolated spaces where your code executes. By using sandboxes, you agree to:

  • Use sandboxes only for legitimate development purposes related to your projects
  • Not attempt to access, modify, or interfere with other users' sandboxes or data
  • Not use sandboxes for cryptocurrency mining, distributed computing, or other resource-intensive activities unrelated to development
  • Not launch attacks, scans, or other malicious activities against external systems
  • Accept that sandboxes have resource limits and may be terminated for excessive usage

We reserve the right to monitor sandbox usage and terminate or suspend access for violations of these policies.

12. Workspaces and Team Collaboration

Workspaces enable team collaboration with shared projects and Credits. As a workspace owner or admin, you are responsible for:

  • Managing workspace members and their permissions appropriately
  • Ensuring all workspace members comply with these Terms
  • Billing and Credit management for the workspace
  • Workspace owners are liable for all activities within their workspace

Credits are shared among all workspace members. Workspace owners can track usage by team member but cannot restrict individual member usage once access is granted.

13. Public vs. Private Projects

Public Projects: Visible to everyone, listed in our community showcase, and can be forked by any user. Use public projects for open-source work, portfolios, and learning.

Private Projects: Available only to Pro, Lifetime, and Ultra tier subscribers. Private projects are visible only to workspace members, hidden from search engines, and use private GitHub repositories.

When you make a project public, you acknowledge that its code and preview URL become accessible to anyone. We are not responsible for any information you choose to make public.

14. Data and Privacy

Your privacy is important to us. Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Key data practices:

  • We store your code, projects, and chat history to provide the Services
  • We use encryption for data in transit and at rest
  • We may use anonymized, aggregated usage data to improve our Services
  • We do not sell your personal data to third parties
  • Third-party integrations (GitHub, Vercel, etc.) have their own privacy policies

Data Retention: We retain your data as long as your account is active. After account deletion, we may retain certain data for legal and compliance purposes. Your GitHub repositories remain accessible to you even after account termination.

15. Intellectual Property Rights

App2 Ownership: App2 and its licensors own all rights, title, and interest in and to the Services, including all software, algorithms, AI models, designs, trademarks, and proprietary technology. You may not use our trademarks, logos, or brand assets without our prior written consent.

User Content: As stated above, you retain ownership of all code and content you create through our Services.

Feedback: If you provide feedback, suggestions, or ideas about our Services, you grant us the right to use them without compensation or attribution.

16. Warranties and Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

APP2 DOES NOT WARRANT THAT:

  • The Services will meet your requirements or expectations
  • The Services will be uninterrupted, timely, secure, or error-free
  • AI-generated code will be accurate, complete, secure, or suitable for any purpose
  • Third-party integrations will function as expected or remain available
  • Any errors or defects will be corrected

YOU ACKNOWLEDGE THAT AI-GENERATED CODE REQUIRES HUMAN REVIEW AND TESTING BEFORE USE IN PRODUCTION ENVIRONMENTS. YOU ARE SOLELY RESPONSIBLE FOR VALIDATING ALL CODE BEFORE DEPLOYMENT.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL APP2, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

  • Loss of profits, revenue, data, use, goodwill, or other intangible losses
  • Damages resulting from unauthorized access to or alteration of your data
  • Damages resulting from errors, bugs, or security vulnerabilities in AI-generated code
  • Damages resulting from interruption or cessation of the Services
  • Damages resulting from third-party services or integrations

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.

18. Indemnification

You agree to indemnify, defend, and hold harmless App2 and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from:

  • Your use of or access to the Services
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your User Content or any code you generate through the Services
  • Your use of AI-generated code in production environments

19. Termination

Termination by You: You may terminate your account at any time through your account settings. Upon termination:

  • Your subscription will be cancelled (no refunds for remaining time)
  • Your Credits will be forfeited
  • Your access to private projects will be revoked
  • Your GitHub repositories will remain accessible to you through GitHub
  • We may retain certain data for legal and compliance purposes

Termination by App2: We may suspend or terminate your access to the Services immediately, without prior notice or liability, for any reason, including:

  • Violation of these Terms
  • Non-payment of fees
  • Fraudulent, abusive, or illegal activity
  • Extended inactivity
  • At our sole discretion to protect our Services, users, or business interests

Upon termination for cause, you forfeit any remaining Credits and subscription fees paid.

20. Modifications to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect through:

  • Email notification to your registered email address
  • Prominent notice on our website or within the Services

Your continued use of the Services after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the new Terms, you must stop using the Services and may terminate your account.

21. Dispute Resolution and Governing Law

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Arbitration: Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association. The arbitration shall take place in Delaware, and judgment on the arbitration award may be entered in any court having jurisdiction.

Class Action Waiver: You agree that any arbitration or proceeding shall be limited to the dispute between you and App2 individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Exceptions: Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent infringement of intellectual property rights.

22. Export Control

The Services may be subject to U.S. export control laws and regulations. You agree not to export, re-export, or transfer the Services or any AI-generated code, directly or indirectly, to any prohibited country, entity, or person as specified in U.S. export laws.

23. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy and any other legal notices published by us, constitute the entire agreement between you and App2 regarding the Services.

Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights without restriction.

Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, natural disasters, or failures of third-party services.
